Welcome to Pendul.ai (“Pendul.ai”, “we”, “our”, or “us”).
These Terms and Conditions (“Terms”) govern your access to and use of our website, platform, applications, and services (collectively, the “Service”).

By signing up for or using Pendul.ai, you agree to these Terms.
If you do not agree, do not use our Service.

1. About Pendul.ai

Pendul.ai is a software-as-a-service (SaaS) platform that allows users to:

  • Generate written, visual, or multimedia content using AI tools;

  • Schedule social media posts; and

  • Automatically publish content to connected social media accounts.

The Service is intended for marketing professionals, businesses, and content creators who wish to streamline their social media activity.

2. Eligibility

You must:

  • Be at least 18 years old, or of legal age in your jurisdiction;

  • Have the authority to enter into binding contracts; and

  • Use the Service for lawful purposes only.

If you are using Pendul.ai on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.

3. Account Registration

You must create an account to use most features of Pendul.ai.
You agree to:

  • Provide accurate, current, and complete information;

  • Keep your login credentials secure; and

  • Notify us immediately if you suspect any unauthorised use of your account.

We reserve the right to suspend or terminate your account if we believe you have violated these Terms.

4. Use of the Service

You may use Pendul.ai only for lawful purposes.
You agree not to:

  • Use the Service to post or distribute unlawful, defamatory, obscene, or infringing material;

  • Attempt to reverse-engineer, decompile, or otherwise access the Service’s source code;

  • Circumvent usage limits, API restrictions, or payment obligations;

  • Misuse the Service to send spam or automated mass postings; or

  • Interfere with other users’ access or the integrity of the platform.

We may monitor usage to ensure compliance and protect the Service from abuse.

5. AI-Generated Content

Pendul.ai uses artificial intelligence (“AI”) tools to generate text, images, or multimedia content.
You acknowledge and agree that:

  • AI outputs are automatically generated and may contain inaccuracies or biases;

  • You are responsible for reviewing, editing, and approving all generated content before publishing;

  • Pendul.ai is not liable for any harm or loss resulting from the publication or use of AI-generated content.

You retain ownership of content you create, subject to Section 8 below.

6. Social Media Integrations

Pendul.ai connects with third-party social platforms (e.g., Facebook, Instagram, LinkedIn, X/Twitter, TikTok, etc.).
You authorise Pendul.ai to:

  • Post content on your behalf;

  • Access and store limited information necessary to perform scheduling and publishing; and

  • Comply with each platform’s API terms and policies.

Pendul.ai is not affiliated with or endorsed by any social media company.
You are solely responsible for compliance with each platform’s terms of service.

7. Subscription, Payments, and Billing

Pendul.ai operates on a subscription basis.
By subscribing, you agree to:

  • Pay all applicable fees as displayed at the time of purchase;

  • Authorise Pendul.ai (or its payment processor) to charge your chosen payment method automatically; and

  • Be responsible for any taxes or transaction charges.

Unless otherwise stated, subscriptions auto-renew until cancelled.
You may cancel anytime from your account dashboard — cancellations take effect at the end of the current billing period.

We do not issue refunds except as required by law.

8. Ownership and Intellectual Property

User Content

You retain ownership of any original content you upload, generate, or publish using Pendul.ai.
By using the Service, you grant Pendul.ai a worldwide, non-exclusive, royalty-free licence to host, store, and process your content solely to operate and improve the Service.

Pendul.ai IP

All intellectual property rights in the Pendul.ai platform, software, trademarks, branding, and AI systems remain the exclusive property of Pendul.ai and its licensors.

You may not copy, modify, or distribute our intellectual property without prior written consent.

9. Data Protection and Privacy

We process your personal data in accordance with our Privacy Policy.
By using Pendul.ai, you consent to such processing and warrant that all data you provide is accurate.

If you are located in the UK or EU, Pendul.ai acts as a “data controller” under the UK GDPR/EU GDPR for personal data we collect and as a “data processor” for customer social media content.

10. Service Availability and Updates

We aim to provide a reliable Service but do not guarantee uninterrupted or error-free operation.
Pendul.ai may:

  • Modify, suspend, or discontinue any feature or functionality;

  • Perform maintenance or updates without notice; and

  • Introduce new versions or improvements periodically.

We are not responsible for outages or downtime caused by third-party services, APIs, or social media platforms.

11. Limitation of Liability

To the fullest extent permitted by law:

  • Pendul.ai and its affiliates shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service;

  • Our total liability for any claim shall not exceed the total fees paid by you in the three (3) months preceding the event giving rise to the claim.

You use Pendul.ai at your own risk, and you are solely responsible for your content and compliance with applicable laws.

12. Indemnification

You agree to indemnify, defend, and hold harmless Pendul.ai, its officers, directors, employees, and affiliates from and against any claims, damages, or expenses arising from:

  • Your content or activity on the Service;

  • Your violation of these Terms; or

  • Your infringement of any third-party rights.

13. Termination

You may stop using the Service at any time.
We may suspend or terminate your account if:

  • You breach these Terms;

  • We are required to do so by law or a platform partner; or

  • Your use poses a security or legal risk.

Upon termination, your access to the platform and stored content may be disabled.
Sections 5, 8, 9, 11, and 12 will survive termination.

14. Changes to Terms

We may update these Terms from time to time.
Any material changes will be notified via email or platform notice.
Continued use of Pendul.ai after the effective date constitutes acceptance of the updated Terms.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
You agree that any dispute will be subject to the exclusive jurisdiction of the courts of England and Wales.
